The Role
We are currently seeking a senior associate to join our Corporate Governance team to assist in the design and implementation of corporate reorganisation projects and the provision of company law advice. The clients that we provide these services to are both international and domestic, and include global technology, pharmaceutical and aviation brands
This is a rare opportunity for a strong and ambitious corporate lawyer to develop their company law expertise in a client facing role, and to progress in their career, while maintaining a work-life balance that can be challenging in a transactional corporate position.
There are presently five corporate lawyers on our Corporate Governance team who specialise in this type of work and we are looking to expand to a team of six.
Responsibilities
Provision of company law advice, including in respect of shareholder and board matters, company capital, capital maintenance, financial assistance, transactions with directors and similar.
Advising on corporate governance matters and working with clients to design and implement corporate governance structures that meet the needs of their organisation.
Assisting clients with the design of corporate restructuring projects, to include understanding their corporate structuring needs and designing the reorganisation steps to achieve the desired structure, while advising on the company law implications of the steps and company law rules to be navigated.
Interpreting reorganisation plans prepared by other advisers, advising on the company law implications of the steps.
Implementing reorganisation projects, including the project management of the steps, the preparation and management of legal step plans and documents lists, coordinating completion and liaising with other MHC lawyers to input into reorganisation plans as appropriate, particularly tax, and managing their input.
Candidate Requirements
The ideal candidate will have:
4+ years’ corporate experience, ideally from a top- or mid-tier law firm;
strong academic qualifications;
a high level of commercial awareness;
in depth technical knowledge and excellent drafting skills and an ability to give clear legal advice in plain English;
strong transaction management skills
a good understanding of legal systems and software;
a diligent and inquisitive approach, and
a strong work ethic and flexible approach to work.
